Welcome to Azuretech. These Terms of Service ("Terms") govern your access to and use of azuretechai.com (the "Site"), operated by Azuretech LLC ("Azuretech," "we," "us," or "our"). By accessing or using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

1. About Our Services

Azuretech provides AI automation, custom web development, workflow integrations, AI chatbot and voice agent deployment, and related digital services. The Site is primarily informational: it describes our offerings, lets you request quotes, take assessments, and contact us.

Any paid engagement is governed by a separate written agreement, proposal, or statement of work ("Engagement Agreement"). If an Engagement Agreement conflicts with these Terms, the Engagement Agreement controls for that engagement.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Site. By using the Site, you confirm that you meet these requirements and that any information you provide is accurate and current.

3. Acceptable Use

You agree not to:

• Use the Site for any unlawful, harmful, deceptive, or fraudulent purpose
• Attempt to gain unauthorized access to the Site, its underlying systems, or related infrastructure
• Interfere with or disrupt the Site, including by introducing malware, exploiting vulnerabilities, or overloading our systems
• Use automated bots, scrapers, or crawlers to harvest data from the Site except as permitted by applicable law
• Reproduce, resell, or commercially exploit any part of the Site or its content without our prior written permission
• Use the Site to train, fine-tune, or develop AI models without our express written consent

4. Intellectual Property

The Site and all of its content, including text, graphics, logos, designs, software, and AI-generated assets, are owned by Azuretech or its licensors and are protected by applicable intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to view the Site for personal or internal business evaluation purposes only.

Ownership of deliverables produced under any paid engagement is addressed in the applicable Engagement Agreement.

5. Submissions and Communications

When you submit a form, request a quote, or otherwise contact us, you are responsible for the accuracy of the information you provide. Please do not submit sensitive, confidential, or privileged information you do not wish to share.

Note: Our intake forms and communication workflows may be processed with the assistance of AI tools. By submitting, you acknowledge this. Any feedback or suggestions you share may be used by us to improve our services without obligation to you.

6. Quotes, Proposals, and Fees

Pricing shown or discussed on the Site is for general informational purposes only and does not constitute a binding offer. All fees, scope of work, payment terms, and project timelines for paid engagements are exclusively governed by the applicable Engagement Agreement.

7. Third-Party Services and Links

The Site may integrate or link to third-party services, including scheduling platforms, analytics tools, CRM systems, and hosting providers. We are not responsible for the content, availability, privacy practices, or terms of any third-party services. Your use of those services is solely governed by their respective terms.

8. Disclaimer of Warranties

The Site is provided on an "as is" and "as available" basis, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Site will be uninterrupted, error-free, secure, or free from viruses.

Content on the Site is for general informational purposes only and does not constitute professional, legal, financial, or technical advice.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Azuretech and its owners, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill, arising from your use of or inability to use the Site.

Our total aggregate liability for any claim relating to the Site will not exceed one hundred US dollars (100 USD). This cap reflects the informational and non-transactional nature of the Site; any liability related to paid services is governed separately by your Engagement Agreement.

10. Indemnification

You agree to indemnify, defend, and hold harmless Azuretech LLC and its owners, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Site or your violation of these Terms.

11. Privacy

Your use of the Site is also governed by our Privacy Policy, which explains what personal information we collect, how we use it, and your rights regarding that information. By using the Site, you also agree to the practices described in our Privacy Policy.

12. Termination

We reserve the right to suspend or terminate your access to the Site at any time, with or without notice, if we believe you have violated these Terms or for any lawful reason. All provisions that by their nature should survive termination, including intellectual property, disclaimers, indemnification, and limitation of liability, will survive.

13. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict-of-laws principles. Any dispute arising from these Terms or your use of the Site will be subject to the exclusive jurisdiction of the state and federal courts located in Miami-Dade County, Florida.

14. Changes to These Terms

We may update these Terms periodically to reflect changes in our practices or applicable law. Updates take effect upon posting to this page, and we will revise the "Last updated" date above. Your continued use of the Site after any update constitutes your acceptance of the revised Terms.

• Carriers are not liable for delayed or undelivered messages.
• Your consent to receive messages is not a condition of any purchase or service.

How we collect, use, and protect your mobile information is described in our Privacy Policy. No mobile information is shared with third parties or affiliates for marketing or promotional purposes. We may modify or terminate this messaging program at any time.
